E-Wind,
I don't know the policy about buying second hand, but I received Italian 1 as a gift last year, with no registration code in the box and no receipt, and I was able to register as a Fluenz user. I'm now working through level 2 and also have purchased level 3. I do think this is the best language software out there, especially for a monolingual Baby Boomer such as myself who probably needs more practice than younger folk!
It is my understanding that Fluenz can address the compatibility with Lion concerns. I use a Mac but don't use Lion yet because of incompatibility with other programs, not Fluenz.

E-Wind -- I'd suggest asking the buyer to contact us so that we can make sure to transfer his/her rights to the additional online features (software updates, flashcards) to you.
